Location: New York, New York (Midtown) (M-Th in office, Friday WFH)
Salary Range: $120,000 – $170,000 base salary (depending on experience) + annual discretionary bonus + comprehensive benefits

About the Role:
Declaration Partners is seeking a highly skilled and proactive Senior Private Equity Paralegal to join our in-house Legal team in our New York office. This role will report directly to the General Counsel and support the private equity business by handling legal matters related to fund formation, portfolio company transactions, investor onboarding, and regulatory filings. This role will also partner with Compliance, Finance, Information Technology and Investor Relations to support efficiency and performance across the legal operations functions. The ideal candidate will bring strong experience from a law firm or investment management environment and thrive in a fast-paced, team-oriented setting.
Key Responsibilities:
- Provide paralegal support across all stages of private equity fund formation, structuring, and governance including proofreading and revising legal documents (e.g., Operating Agreement, Limited Partnership Agreement, etc.).
- Assist with legal entity and fund formation, draft formation and dissolution documents, organizational/structure charts, amendments to organizational documents, assignments and resolutions.
- Review and draft agreements and consents related to limited partnerships, limited liability companies, and corporations
- Manage in-house document execution, closing processes, and post-closing organization for fund investments and transactions
- Draft ancillary documents under attorney supervision (e.g., officer's certificates, bylaws, corporate resolutions, stock certificates, collateral receipt letters, etc.)
- Assist with regulatory filings with state and federal agencies
- Support capital calls, distributions, and investor reporting in collaboration with internal finance and investor relations teams
- Maintain and update legal entity records, organizational charts, and databases
- Collaborate with external counsel and service providers to ensure timely and accurate execution of legal tasks
- Conduct legal research and prepare summaries on corporate governance, regulatory, and compliance matters
- Perform special projects and other responsibilities for the legal team as time permits
Knowledge, Skills, & Qualifications:
- Bachelor’s degree from accredited 4-year college/university required; Paralegal Certificate from an ABA-approved program strongly preferred
- 6+ years of experience as a private fund paralegal in private equity or asset management, with in-house experience strongly preferred
- Strong working knowledge of private equity portfolio transactions, fund formation, private placement regulatory regimes, and entity governance
- Highly detail-oriented with the ability to manage multiple ongoing priorities and deadlines
- Excellent communication, drafting, and organizational skills
- Comfortable working independently in a high-performance, professional environment
- Proficiency in Microsoft Office, entity management software, and legal document platforms
